These Terms of Service ("Terms") are an agreement between Financial Datasets, Inc. ("Financial Datasets," "we," or "us") and you, the person or entity that uses our services. They govern your access to and use of our API, data, software, and websites (collectively, the "Services").
By creating an account or using the Services, you agree to these Terms. If you use the Services on behalf of an organization, you accept these Terms for that organization and represent that you are authorized to do so. You must be at least 18 years old to use the Services. Your use of the Services is also subject to our
Privacy Policy. If you do not agree to these Terms, do not use the Services.
These Terms cover our self-serve plans (Credits, Build, and Scale). Enterprise customers are governed by a separate written agreement signed with Financial Datasets, which controls to the extent it conflicts with these Terms.
1. The Services
Financial Datasets provides an API and related tools that deliver financial and market data, including data sourced from public filings and third parties. The Services are evolving. We may add, change, or remove features, and we may modify or discontinue all or part of the Services at any time. We aim for high availability but do not guarantee that the Services will be uninterrupted, secure, or error-free, and we may suspend access for maintenance, security, legal, or operational reasons.
2. Your Account and API Keys
To use the Services, you create an account and receive API keys. Keep your account information accurate and your API keys confidential. You are responsible for all activity that occurs under your account and keys, whether or not you authorized it. Notify us promptly at
[email protected] if you believe your account or keys have been compromised.
By creating an account, you agree to receive account, transactional, and product-related communications from us by email. You may opt out of non-essential marketing emails at any time.
3. Plans, Usage, and Billing
Our current plans, prices, and included usage are described on our
pricing page. Pricing is usage-based: every API request, including each tool call made through our MCP server, counts as one billable unit.

Credits is pay-as-you-go. You prepay a balance, and each request draws from it.

Build and
Scale are subscriptions that include a set amount of monthly usage. When you exceed your included usage, additional requests (overage) draw from your prepaid balance.
Prepaid balances are non-refundable and expire twelve (12) months after purchase. If your balance reaches zero, further requests are declined (HTTP 402) until you add funds. Prices do not include taxes, which are your responsibility. We may change our prices and plans on a going-forward basis; changes will not affect usage you have already paid for.
4. How You May Use the Data
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Services and the data they provide, including for commercial purposes. You may use the data, and any analyses, summaries, or other outputs you derive from it, for your own personal, internal, and business use, and you may incorporate it into the applications, products, and services you build. This license applies on every plan; plans differ only in included usage, features, and price, not in who may use the Services or for what purpose.
Redistributing the underlying data to third parties is permitted only on plans that expressly include data redistribution (currently Scale) or under a separate written agreement with us.
Regardless of plan, you may not use the data or outputs to: (a) build or offer any product, dataset, data feed, or API that is substantially similar to, or a substitute for, the Services; (b) train, fine-tune, or develop a machine-learning or AI model that competes with the Services, or create synthetic training data for that purpose; (c) operate a data-brokerage or data-resale business; or (d) redistribute or resell the underlying data except as expressly permitted by your plan or a separate written agreement with us.
5. Acceptable Use
You agree not to, and not to help or permit anyone else to:
• bypass, disable, or circumvent any limit, security measure, or access control of the Services;
• attack, overload, or disrupt the Services (including any denial-of-service attack), or access them by automated means outside the documented API;
• introduce viruses, malware, or other harmful code;
• reverse engineer, decompile, or attempt to extract the source code of the Services, except to the extent the law expressly permits;
• use the Services unlawfully, to infringe or violate the rights of others, or in violation of securities laws or the rules of any exchange or regulator (such as the SEC or FINRA);
• export or use the Services in violation of applicable export-control or sanctions laws; or
• misrepresent your identity or affiliation.
You are responsible for your users' compliance with these Terms. We may suspend or terminate access if we reasonably believe you have violated these Terms or that your use poses a security, legal, or operational risk.
6. Ownership and Intellectual Property
We and our data sources own the Services and the data, including all related intellectual property. These Terms grant you only the limited license described above and transfer no ownership to you. You own the applications and products you build using the Services, and the outputs you generate, subject to our and our sources' rights in the underlying data.
If you send us feedback or suggestions, you grant us a perpetual, worldwide, royalty-free license to use them without restriction. We may also collect and use aggregated, de-identified data about how the Services are used in order to operate, improve, and secure them; this data does not identify you and belongs to us. We do not use your inputs, queries, or other content you submit to the Services to train our machine-learning or AI models.
7. Third-Party and Market Data
Much of the data is sourced from third parties and public filings. It is provided "as is." We do not control it and do not guarantee that it is accurate, complete, timely, or fit for your purpose. Some data may be subject to third-party terms, and your use of the data is at your own risk.
8. Not Financial Advice
The Services and data are provided for informational purposes only. They are not investment, legal, tax, or accounting advice, and nothing in them is a recommendation or an offer or solicitation to buy or sell any security or financial instrument. You are solely responsible for your own decisions.
9. Disclaimers and Limitation of Liability
THE SERVICES AND DATA ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
TO THE FULLEST EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, REVENUE, OR DATA. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES, ACROSS ALL CLAIMS, WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100).
10. Your Indemnification
You will defend, indemnify, and hold harmless Financial Datasets and its officers, employees, and affiliates from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or relating to your use of the Services, your data or applications, or your violation of these Terms or applicable law.
11. Term and Termination
You may stop using the Services at any time. We may suspend or terminate your access if you breach these Terms, fail to pay amounts due, or if your use poses a security, legal, or operational risk, and we may discontinue the Services. When your access ends, your right to use the Services and data stops, and you must stop using and delete the data. Unused prepaid balances are non-refundable except where the law requires otherwise. The provisions that by their nature should survive termination, including those on ownership, disclaimers, limitation of liability, indemnification, and dispute resolution, will survive.
12. Customer Identification
We may identify you as a Financial Datasets customer and use your name and logo for that purpose, including on our website and in marketing materials. If you prefer that we not do so, email
[email protected] and we will stop using your name and logo going forward.
13. Changes to These Terms
We may update these Terms from time to time. If we make a material change, we will provide reasonable notice, for example by posting the updated Terms with a new date or by notifying you. By continuing to use the Services after the change takes effect, you agree to the updated Terms.
14. Governing Law
These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules. You and Financial Datasets agree that any dispute arising out of or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in New York, New York, and each party consents to the personal jurisdiction of those courts.
15. General
If a separately signed agreement between you and Financial Datasets (such as an Enterprise agreement) conflicts with these Terms, that agreement controls. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets. If any provision of these Terms is found unenforceable, the remaining provisions will stay in effect. Our failure to enforce a provision is not a waiver of it. Neither party is liable for any delay or failure caused by events beyond its reasonable control. These Terms do not create any third-party beneficiaries.
